Terms of Service

1. Acceptance of Terms
By accessing our website digiworld.agency or engaging the services of DigiWorld Agency (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, please discontinue use of our website and services.
2. Services
DigiWorld Agency provides digital marketing and technology services including, but not limited to:
- Website & App Development
- Meta Ads Management (Facebook & Instagram)
- Google Ads & PPC Campaigns
- SEO & Content Strategy
- CRM Development & Integration
- AI Automation & Workflows
Specific services, deliverables, timelines, and fees will be defined in a separate Service Agreement or Statement of Work (“SOW”) signed by both parties.
3. Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information required for delivery of services
- Designate a point of contact for approvals and communication
- Provide access to necessary accounts, platforms, and assets within agreed timelines
- Review and approve deliverables within the timeframe specified in the SOW
- Ensure all submitted content is lawful and does not infringe on third-party rights
4. Payment Terms
- All fees are outlined in the applicable SOW or invoice
- Invoices are due within 7 days of issuance unless otherwise agreed
- Late payments may incur a 1.5% monthly late fee
- We reserve the right to pause or terminate services for accounts with outstanding balances exceeding 14 days
- All prices are in USD unless otherwise specified
5. Intellectual Property
Client-owned assets: All logos, trademarks, images, and content you provide remain your property.
Deliverables: Upon full payment, ownership of final deliverables (e.g., website, designs) transfers to the Client. Pre-existing tools, frameworks, and proprietary methodologies developed by DigiWorld Agency remain our property.
Portfolio rights: We reserve the right to display completed work in our portfolio unless you request otherwise in writing.
6. Confidentiality
Both parties agree to keep confidential all non-public business information shared during the engagement. This obligation survives termination of services for a period of 2 years.
7. Limitation of Liability
DigiWorld Agency's total liability under any claim arising from our services shall not exceed the fees paid by the Client in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruptions.
8. No Guarantee of Results
While we apply best-in-class practices, DigiWorld Agency does not guarantee specific results such as ad performance, search rankings, or revenue growth. Marketing outcomes depend on many external factors beyond our control.
9. Termination
Either party may terminate the engagement with 30 days' written notice. Upon termination:
- All outstanding fees for work completed become immediately payable
- We will transfer all client-owned assets and account access within 5 business days
- Prepaid fees for unused services may be refunded per our Refund Policy
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration or in the courts of California.
11. Changes to Terms
We may modify these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
